These terms govern how FourteenCloud collaborates with enterprises, high-growth startups, and creators across India, APAC, and global markets. Specific SoWs or MSAs may override certain clauses.

1. Parties & scope

These Terms & Conditions ("Terms") govern all Software-as-a-Service (SaaS) subscriptions, software products, consulting, design, engineering, and advisory services delivered by FourteenCloud ("we/us/our") to the client entity identified in the governing Statement of Work ("SoW"), Order Form, Master Services Agreement ("MSA"), or SaaS subscription agreement.

This includes services provided through fourteencloud.com, wendesk.com, and other SaaS platforms. Specific SoWs may override provisions herein. By signing a SoW, subscribing to our services, making a payment, or commencing work, the client ("you/your") agrees to these Terms.

2. Engagement process

  • 2.1 Scoping: Each SoW defines objectives, deliverables, timelines, pods, commercial terms, and service-specific addendums (AI/ML, DevOps, Cybersecurity, Compliance, Automation, Growth, YouTube).
  • 2.2 Client responsibilities: Provide timely information, system access, approvals, and a single decision authority. Delays may impact schedules and fees.
  • 2.3 Change control: Material scope changes require written approval, may trigger revised estimates, and will be tracked via shared collaboration tools.
  • 2.4 Delivery cadence: Work is executed in structured sprints with documented check-ins, Loom recaps, and acceptance checkpoints. Silence beyond five business days constitutes provisional acceptance.

3. Fees & payment

  • 3.1 Payment Methods: We accept payments via secure, RBI-approved payment gateways and bank transfers. All payments are processed in Indian Rupees (INR) or as specified in the SoW. Payment processing is subject to the terms and conditions of the respective payment gateway providers.
  • 3.2 SaaS Subscriptions: For recurring SaaS services, fees are charged in advance on a monthly, quarterly, or annual basis as per your selected plan. Subscriptions auto-renew unless cancelled as per our Refund Policy.
  • 3.3 Invoicing: Invoices issued per SoW schedule; Net 15 payment terms unless otherwise stated. For SaaS subscriptions, invoices are generated automatically upon payment processing.
  • 3.4 Late Payments: Late payments accrue 1.5% monthly interest (18% per annum) as per Indian law. We may suspend service access for non-payment exceeding 20 days. Reinstatement may require payment of outstanding amounts plus applicable fees.
  • 3.5 Refunds: Refund requests are governed by our Refund Policy available at /in/refund. Refunds are processed within 7-14 business days to the original payment method, subject to payment gateway processing times.
  • 3.6 Additional Costs: Approved travel, tooling, or third-party costs are billed at cost unless bundled in a fixed fee. All costs are clearly communicated and require approval before incurrence.
  • 3.7 Taxes: All fees are exclusive of applicable taxes (GST, service tax, etc.). You are responsible for paying all taxes as per Indian tax laws. Tax invoices are provided for all transactions.
  • 3.8 Payment Disputes: Payment disputes must be raised within 7 days of invoice date. Disputes are resolved per our dispute resolution process outlined in Section 10.

4. Intellectual property & usage

  • Client owns deliverables created specifically for them upon full payment.
  • FourteenCloud retains ownership of pre-existing IP, methodologies, accelerators, and generalized tools (e.g., RAG scaffolds, automation frameworks), provided they contain no client confidential data.
  • Client warrants that materials supplied (datasets, code, brand assets) are lawfully obtained and grant us the rights necessary for delivery.

5. Confidentiality & data protection

  • Mutual confidentiality applies to all non-public information exchanged.
  • We comply with applicable regulations including DPDPA, GDPR, CCPA, PDPA, HIPAA, PCI, and maintain sub-processor inventories in our Compliance Playbook.
  • When acting as processor, we only process data per your documented instructions and execute DPAs as required. Breach notifications occur within legally mandated timelines.

6. Service-specific terms

Depending on the services procured, the following additional terms apply and are incorporated by reference into each SoW:

  • AI, ML & Agentic: Model artifacts and evaluation results transfer upon payment. Client datasets remain in their custody. Safety guardrails and usage boundaries defined in AI addendums.
  • DevOps & Cloud: Infrastructure changes performed via infrastructure-as-code; emergency actions documented within 24 hours. Client cloud accounts remain under client ownership; we operate with delegated roles.
  • Cybersecurity & Compliance: Pen-tests scheduled with five business days notice; safe-listing and escalation contacts provided by client. Regulatory filings performed only when explicitly contracted.
  • Intelligent Automation: Bot deployments require client production approvals; throughput projections assume systems meet documented baselines.
  • Digital Growth & YouTube: Content and publishing actions require written client approval. Performance metrics are best-effort and not guaranteed.

7. Warranty & support

Deliverables include a limited warranty period (typically 15–30 days) covering defects materially deviating from the SoW. Warranty excludes third-party platform changes, misuse, or out-of-scope feature requests. Extended support or retainers may be purchased separately.

8. Liability & indemnity

  • Each party’s aggregate liability is limited to fees paid under the applicable SoW in the preceding six months.
  • Neither party is liable for consequential, special, or indirect damages, including lost profits or data.
  • Mutual indemnification covers third-party claims arising from IP infringement, gross negligence, or willful misconduct, subject to prompt notice and control of defense.

9. Termination & suspension

  • Either party may terminate a SoW with 30 days written notice. Fees due through the termination date remain payable, and we will hand over work-in-progress upon settlement.
  • Immediate termination permitted for material breach not cured within 10 business days, insolvency, or unlawful activity.
  • Upon termination, access credentials are revoked, data returned or deleted per client instruction, and a final status report delivered.

10. Governing law & dispute resolution

  • Default governing law is the Republic of India with exclusive jurisdiction in Jaipur, Rajasthan courts. Alternate jurisdictions may be specified in the MSA for overseas clients.
  • Parties will attempt good-faith resolution via escalation (Engagement Lead → Practice Director → Founding Partner) before initiating formal proceedings. Payment disputes are subject to the same escalation process.
  • For payment-related disputes, we follow the dispute resolution process of our payment gateway providers and comply with RBI guidelines for payment disputes.
  • Cross-border disputes may be resolved through confidential arbitration under SIAC/ICC rules if specified in the MSA.

11. Service Description & Pricing

We provide the following services subject to these Terms:

  • SaaS Platforms: wendesk.com (customer support and helpdesk platform) and other SaaS services with subscription-based pricing. Pricing, features, and plans are displayed on our websites and may be updated with 30 days notice to active subscribers.
  • Consulting Services: AI & Agentic AI Consulting, DevOps & Cloud Services, Cybersecurity & VAPT, Compliance & IT Audit, Digital Transformation, Intelligent Process Automation, Software Development, and related technology consulting services. Pricing is provided in proposals, SoWs, or order forms.
  • Pricing: All prices are in Indian Rupees (INR) unless otherwise specified. Prices are exclusive of applicable taxes (GST, etc.). We reserve the right to modify pricing with 30 days advance notice for SaaS subscriptions.
  • Currency: Payments are accepted in INR. For international clients, equivalent amounts in other currencies may be specified in the SoW.

12. Payment Security & Fraud Prevention

  • All payments are processed through secure, RBI-approved payment gateways that are PCI-DSS compliant.
  • We implement fraud prevention measures and may require additional verification for high-value transactions.
  • If we detect fraudulent activity, we reserve the right to suspend accounts, cancel transactions, and report to relevant authorities.
  • You are responsible for maintaining the security of your account credentials and payment methods. Notify us immediately of any unauthorized transactions.
  • We are not liable for losses arising from unauthorized access to your account due to your failure to maintain security.

13. Miscellaneous

  • Neither party may assign its rights without written consent, except to affiliates or in connection with a merger/acquisition.
  • Force majeure events (natural disasters, widespread outages, government actions, payment gateway failures) excuse performance for the duration of the event.

  • If any provision is invalid, the remainder stays in effect. Failure to enforce a right is not a waiver.
  • These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and FourteenCloud regarding the use of our services.
  • We reserve the right to modify these Terms at any time. Material changes will be notified via email to active subscribers at least 30 days before they take effect. Continued use of services after changes constitutes acceptance.
